1. Preamble
Statement of Purpose
The African Kingdoms Federation (AKF), in the year 2000 established CIHF-Crown Imperial House Foundation, and present day Royal Kingdoms CIHF Chapters are established to foster unity, peace, health, and wellness within the Kingdom communities, while preserving cultural heritage and promoting sustainable development. Guided by the principles of solidarity, mutual respect, and collective progress, the Foundation aims to uplift and empower Kingdoms peoples through strategic initiatives and collaborative efforts. Our core mission is to bridge traditional values with modern advancements to create a cohesive and thriving Kingdom.

2. Name, Status, and Headquarters
Official Name
The official name of the organization is the "Crown Imperial House Foundation – CIHF. Legal Status. The Crown Imperial House Foundation is a private, non-profit organization registered under the Companies Act, 1963 (Act 179) in Ghana. As a legal entity, the Foundation operates independently to achieve its objectives in alignment with its mission and vision.
Location of Headquarters
The headquarters of the Crown Imperial House Foundation – CIHF is located in Accra, Ghana with representatives’ offices globally. This central location is chosen to facilitate effective management and coordination of the Foundation's initiatives across the continent, ensuring accessibility and strategic outreach.
3. Mission and Vision
Mission Statement
To establish a robust support network among Kingdoms and African Nations, driving socio-economic development and cultural preservation, while promoting unity, peace, health, and wellness. The Crown Imperial House Foundation establishes Royal Kingdoms Chapters with the aim to harness collective efforts and resources to foster sustainable growth and empower communities in the Kingdoms.
Vision Statement
To create harmonious and empowered Kingdoms where ancient traditions and modern innovations coalesce to uplift communities and enhance the quality of life for all Kingdoms peoples and surrounding Kingdoms. Our vision encompasses a future where Kingdom's rich heritage and progressive advancements work in concert to build prosperous and unified Kingdoms.
4. Objectives and Activities
Unity Initiatives

Organizing Inter-Chiefdom Conferences and Forums: Facilitate dialogue and collaboration among Kingdoms Chiefs to foster unity and collective progress.

Facilitating Cultural Exchange Programs: Promote mutual respect and understanding through cultural exchange initiatives that celebrate and share diverse traditions.

Hosting Annual Unity Festivals: Celebrate Kingdoms diversity and strengthen community bonds through annual festivals that showcase the Kingdom’s rich cultural heritage.

5. Governance Structure
Senior Authority
-
No commitment or financial obligation, contract or agreement or any other type of contract, agreement or obligation is to be signed by any person associated with the CIHF and the CIHF Kingdoms Chapters without the express written approval by Her Imperial Majesty The Empress. This applies to the members of the Executive Committee, the members of the Advisory Council and any other staff members, volunteers, Members and any persons in any way associated with the CIHF and the CIHF Kingdoms Chapters.
Executive Committee Composition and Appointment:

The Executive Committee shall include key operational roles such as the Executive Director, Chief Financial Officer, and other essential positions as proposed by the Executive Director and approved by Her Imperial Majesty via the office of the CPM for Administration.

Members of the Executive Committee shall be appointed by Her Imperial Majesty based on their expertise and experience.
Roles and Responsibilities:

Operational Management: Oversee day-to-day operations of the Foundation.
-
Strategic Planning: Propose for approval by Her Imperial Majesty via the Office of the CPM for Administration strategic plans in alignment with the Foundation’s mission. And once approved, execute the Strategic Plan.

Reporting: Provide weekly reports to Her Imperial Majesty via the Office of the CPM for Administration on the Foundation’s activities and performance, along with photos, testimonials and videos as possible.
Advisory Council Composition and Appointment:

The Advisory Council shall consist of experts, and representatives from various sectors relevant to the Foundation’s activities.

Members shall be proposed by the Executive Director of the Chapter and approved by Her Imperial Majesty via the Office of the CPM for Administration based on their knowledge, experience, and contributions to the Foundation’s goals.
Roles and Responsibilities:

Advice and Guidance: Offer expert advice and recommendations to the Executive Committee.

Networking: Facilitate connections and collaborations with external stakeholders and organizations.

Support and Advocacy: Advocate for the Foundation’s initiatives and support its outreach efforts.

Detailed Description: The roles and responsibilities of the Senior Authority, Executive Committee, and Advisory Council members shall be defined in the Foundation’s operational policies and by-laws, ensuring clarity in governance and accountability.
6. Membership Eligibility Criteria

Individual Members: Individuals who are committed to the Foundation’s mission and have a demonstrated interest or expertise in areas relevant to the Foundation’s objectives may apply for an individual membership at an annual fee of USD $100.

Organizational Members: Organizations that align with the Foundation’s mission and are engaged in activities that support the Foundation’s goals may also apply for organization/company membership form at an annual fee of USD $500

Royals/Chiefdoms/Clans: Any Royal Chiefdoms/Clans that align with the Foundation’s mission and are engaged in activities that support the Foundation’s goals may also apply for a Royal membership at an annual fee of USD $300.

Application Process: Interested individuals or organizations submitted application forms will be reviewed and approved with written notice by Her Imperial Majesty via the Office of the CPM for Administration
Rights and Responsibilities of Members
Rights:

Participation: Members have the right to participate in Foundation meetings, events, and activities.

Access to Information: Members are entitled to receive updates on the Foundation’s activities and other relevant information.
Responsibilities:

Adherence to Constitution: Members must adhere to the provisions of the Constitution and any policies or guidelines established by the Foundation.

Active Participation: Members are encouraged to actively participate in the Foundation’s programs and initiatives.

Support and Advocacy: Members should support the Foundation’s mission and advocate for its objectives in their respective communities or sectors.
Membership Categories

Regular Members: Individuals who actively engage with the Foundation’s initiatives and participate in its activities.

Honorary Members: Individuals recognized for their significant contributions to the Foundation or its mission, who may not actively participate but offer valuable support and advocacy.

Organizational Members: Entities such as NGOs, companies, or institutions that support the Foundation’s mission and collaborate on relevant projects.

Lifetime Members: Individuals or organizations that have made exceptional contributions to the Foundation and are granted permanent membership status.

Royal Members: Royals who actively engage with the Foundation’s initiatives and support and participate in its activities.
7. Meetings
Annual General Meetings

Frequency: The Foundation shall hold an Annual General Meeting (AGM) once every year, typically within the 6th month of each year.

Agenda: The AGM will cover key topics including the review of the annual report, financial statements and other significant decisions.

Procedures: Notice of the AGM shall be given to all members at least 21 days in advance. The meeting will be conducted in accordance with the procedures outlined in the Foundation’s by-laws.
Special Meetings

Conditions: Special meetings may be called to address urgent matters or specific issues not covered in the AGM. Such meetings can be convened by the Senior Authority, Executive Committee, or upon request by a specified number of members.

Procedures: Notice of special meetings must be provided to members at least 7 days in advance, specifying the purpose and agenda of the meeting. Decisions at special meetings are made in accordance with the procedures established in the by-laws.
8. Financial Management
Sources of Funding

Donations: The Foundation may receive donations from individuals, organizations, and philanthropic entities committed to supporting its mission and objectives.

Grants: The Foundation may apply for and receive grants from government agencies, international organizations, and other funding bodies.

Fundraising Activities: The Foundation may organize fundraising events and campaigns to generate additional resources.

Investment Income: The Foundation may invest its funds in accordance with its investment policy to generate income only with the express written approval from Her Imperial Majesty.
Financial Accountability

Budgeting: The Foundation shall prepare an annual budget outlining expected revenues and expenditures, which must be approved by Her Imperial Majesty

Expenditure: All expenditures must be in line with the approved budget and must be documented and justified according to the Foundation’s financial policies.

Financial Policies: The Foundation shall establish and maintain financial policies and procedures to ensure responsible financial management and transparency.
Auditing and Reporting

Auditing: The Foundation’s financial statements shall be audited annually by a certified CIHF Accountant to ensure accuracy and compliance with legal and financial standards.

Reporting: The Foundation shall prepare and submit annual financial reports, detailing the financial status and performance of the Foundation.
9. Partnerships and Collaborations

All partnerships should be formalized through written agreements outlining the roles, responsibilities, and contributions of each party.

Principles: Collaborations should be based on principles of transparency, and accountability. All agreements should include mechanisms for regular review and assessment of progress.
10. Monitoring and Evaluation
Monitoring Framework

Framework: The Foundation shall establish a comprehensive monitoring framework to track the progress and impact of its initiatives. This framework will include processes for regular assessment, data collection, and analysis to ensure that activities are aligned with the Foundation’s objectives.

Monitoring Tools: Tools and methods such as performance indicators, surveys, and reports will be used to gather information and evaluate the effectiveness of programs and projects.

11. Amendments to the Constitution
Procedures for Amendments

Proposal: Amendments to the Constitution may be proposed by the Executive Committee in alignment with the Foundation’s mission and objectives.

Review: Proposed Amendments shall be reviewed by the Office of the CPM for Administration and submitted to Her Imperial Majesty for approval.

Notification: Members shall be notified of proposed amendments at least 7 days before the meeting where the amendment will be discussed.

Approval: To be adopted, proposed amendments must be approved by Her Imperial Majesty.

Implementation: Once approved, amendments shall be implemented and incorporated into the Constitution. The updated Constitution shall be distributed to all Members and stakeholders.
12. Dissolution
Conditions for Dissolution

Circumstances: The Foundation may be dissolved under the following circumstances:

Decision by Senior Authority: A resolution for dissolution may be passed by Her Imperial Majesty with prior notice.

Legal Requirements: Dissolution may occur if required by law or as mandated by regulatory authorities.

Insolvency: Dissolution may be initiated if the Foundation becomes insolvent.
Asset Distribution upon Dissolution

Distribution of Assets: Upon dissolution, any remaining assets of the Foundation shall be distributed as follows:

Debts and Liabilities: First, all outstanding debts and liabilities shall be settled.

Remaining Assets: Any remaining assets shall be distributed to one or more organizations with similar objectives to the Foundation, as determined by Her Imperial Majesty.

Legal Compliance: The distribution of assets shall comply with applicable legal requirements and regulations.
